The rules for using Arc Studio workspaces, AI features, and subscriptions

1. Agreement To These Terms

These Terms of Service ("Terms") are an agreement between EnContext, Inc. ("EnContext," "Arc Studio," "we," "us," or "our") and the person or organization accessing Arc Studio ("Customer," "you," or "your").

By creating an account, joining a workspace, starting a trial, using the website, or using Arc Studio, you agree to these Terms. If you use Arc Studio on behalf of an organization, you represent that you have authority to bind that organization.

If your organization has a separate written agreement with EnContext, that agreement controls where it conflicts with these Terms.

2. The Service

Arc Studio is an evidence-grounded product requirements workspace. It helps teams create PRDs, link evidence, use AI-assisted drafting and review, calculate readiness, collaborate with reviewers, and export product work to connected tools.

We may update, improve, add, remove, or change features from time to time. We will use reasonable efforts to avoid materially reducing paid functionality during an active subscription term.

Certain features may be labeled beta, preview, experimental, or similar. Those features may change, break, or be discontinued and may be subject to additional limits.

3. Accounts And Workspace Administration

You must provide accurate account, organization, billing, and workspace information and keep it current. You are responsible for safeguarding credentials and for activity under your account.

A workspace owner or administrator may manage members, invitations, roles, billing, exports, integrations, and other workspace settings. If your account is provided by an organization, that organization may control or access workspace content and account activity associated with the workspace.

You must promptly notify us if you suspect unauthorized access to your account, workspace, credentials, or connected services.

4. Customer Content

Customer Content means PRD sections, evidence, links, assumptions, comments, sign-off records, exports, prompts, files, workspace titles, and other information submitted to Arc Studio by you or your users.

As between you and EnContext, you retain ownership of Customer Content. You grant EnContext a limited license to host, process, transmit, display, reproduce, modify, and otherwise use Customer Content as needed to provide, secure, support, and improve Arc Studio and to comply with law.

You represent that you have the rights and permissions needed to submit Customer Content to Arc Studio and to allow us to process it under these Terms and our Privacy Policy.

You are responsible for the accuracy, legality, reliability, and appropriateness of Customer Content and for reviewing any PRD, export, analysis, or decision that depends on it.

5. AI Features

Arc Studio includes AI-assisted features that may generate PRD drafts, evidence classifications, readiness findings, role summaries, export drafts, and other output based on Customer Content and product instructions.

AI output may be inaccurate, incomplete, outdated, biased, or unsuitable for your use case. You are responsible for reviewing, editing, validating, approving, and deciding whether to rely on AI output.

You should not submit sensitive personal information, regulated health information, payment card data, authentication secrets, service-role keys, database credentials, or other highly sensitive information into workspace content or AI prompts unless your written agreement with EnContext expressly permits it.

Arc Studio does not use Customer Content to train AI models. Additional details about AI processing are provided in our Privacy Policy.

6. Plans, Trials, Billing, And Limits

Arc Studio may offer free plans, paid subscriptions, trials, usage-based features, enterprise plans, and promotional offers. Plan details may include limits for users, active briefs, AI drafts, exports, integrations, support, storage, and administrative controls.

Free plans are provided without charge and may have feature, usage, collaboration, support, or retention limits. We may change or discontinue free plans with reasonable notice where practical.

Paid subscriptions are billed according to the plan, order form, checkout page, or written agreement that applies to your workspace. Unless stated otherwise, subscriptions renew automatically until canceled.

Upgrades may take effect immediately and may be prorated. Downgrades or cancellations may take effect at the end of the current billing period. You remain responsible for fees incurred before the change takes effect.

If payment fails or fees are overdue, we may suspend or limit access to paid features after reasonable notice. Taxes are not included unless expressly stated.

7. Acceptable Use

You may not use Arc Studio to violate law, infringe rights, upload malicious code, compromise security, overload infrastructure, scrape or harvest data, reverse engineer the service, bypass usage limits, resell access without permission, or interfere with other users.

You may not use Arc Studio to create, store, or transmit unlawful, harmful, abusive, deceptive, defamatory, discriminatory, or infringing content.

You may not use AI features to generate malware, facilitate fraud, evade security controls, impersonate others, or make automated decisions in regulated contexts without appropriate human review and legal compliance.

We may suspend or remove content, accounts, or workspaces if we reasonably believe they violate these Terms, create security or legal risk, or could harm Arc Studio, users, or third parties.

8. Integrations And Third-Party Services

Arc Studio may integrate with third-party services such as authentication providers, storage, billing, AI infrastructure, analytics, Jira, Linear, Slack, Notion, and other product tools.

Your use of third-party services is governed by their own terms and policies. We are not responsible for third-party services, content, availability, security, or processing outside Arc Studio.

When you connect or export to a third-party service, you authorize Arc Studio to transmit the information needed to complete the integration or export you request.

9. Confidentiality And Security

Each party may receive non-public information from the other party that should reasonably be understood to be confidential. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care.

Confidentiality obligations do not apply to information that is public without breach, already known without restriction, independently developed, rightfully received from a third party, or required to be disclosed by law.

We maintain technical and organizational safeguards designed to protect Arc Studio. No service is perfectly secure, and you are responsible for managing users, roles, credentials, exports, and connected-service permissions carefully.

10. Privacy

Our Privacy Policy explains how we collect, use, disclose, protect, and retain personal information and Customer Content. By using Arc Studio, you acknowledge that information will be processed as described in the Privacy Policy.

If you need a data processing agreement, security addendum, business associate agreement, or other customer-specific privacy terms, those must be agreed in writing by EnContext.

11. EnContext Ownership And Feedback

EnContext and its licensors own Arc Studio, including software, interfaces, workflows, designs, documentation, models, prompts, templates, infrastructure, and other service technology. These Terms do not transfer ownership of Arc Studio to you.

If you provide feedback, suggestions, ideas, or improvement requests, you grant EnContext a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

12. Disclaimers

Arc Studio is provided "as is" and "as available" except as expressly stated in a written agreement. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Arc Studio is not legal, financial, medical, safety, compliance, or professional advice. You are responsible for using appropriate expertise, review, testing, and approvals before relying on product requirements, exports, AI output, or readiness scores.

13. Limitation Of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities.

To the fullest extent permitted by law, EnContext's total liability for all claims relating to Arc Studio or these Terms will not exceed the amounts paid by you to EnContext for Arc Studio in the 12 months before the event giving rise to liability, or 100 US dollars if you used only a free plan.

These limitations apply regardless of legal theory and even if a remedy fails of its essential purpose, but they do not limit liability where prohibited by law.

14. Indemnity

You will defend, indemnify, and hold harmless EnContext and its officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and expenses arising from Customer Content, your use of Arc Studio, your violation of these Terms, or your violation of law or third-party rights.

15. Suspension And Termination

You may stop using Arc Studio at any time. Workspace owners may cancel paid subscriptions through the product, checkout provider, or by contacting us when self-service cancellation is unavailable.

We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay fees, misuse the service, or if continued access could harm Arc Studio, users, or third parties.

After termination, your access to Arc Studio may end, but these Terms will continue where their nature requires, including payment obligations, confidentiality, ownership, disclaimers, liability limits, indemnity, and dispute provisions.

16. Changes To These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through Arc Studio, by email, or by another reasonable method. Updated Terms are effective when posted unless they state otherwise.

If you continue using Arc Studio after updated Terms take effect, you accept the updated Terms. If you do not agree, you must stop using Arc Studio.

17. Governing Law And Disputes

These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-law rules.

Before filing a claim, each party agrees to try to resolve disputes informally by giving written notice and allowing 30 days for discussion. Unless a written agreement states otherwise, disputes will be brought in the state or federal courts located in Delaware, and each party consents to that venue and jurisdiction.

These Terms are intended as public product terms for Arc Studio users. Enterprise customers may require a negotiated agreement, order form, data processing agreement, security addendum, or other customer-specific terms.
